Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the website www.drmotabhai.com and all related pages, tools, features, communications, consultations, order flows, services and products made available through it (collectively, the "Website" or the "Services").

The Website is owned and operated by Hilt Brands India Pvt Ltd ("Company", "Dr. Motabhai", "we", "us", or "our"), a company incorporated under the Companies Act, 2013 and operating from Bangalore, Karnataka, India.

By accessing, browsing, registering on, or using the Website in any way, you agree to be bound by these Terms, our Privacy Policy, and all other policies, notices, disclaimers, consent forms and terms referenced on the Website. If you do not agree, you must not use the Website or any of the Services.


1. Nature of the Platform and Scope of Services

1.1 Dr. Motabhai is a digital health and commerce platform that enables users to:

  1. access health-related information, educational content and digital tools;

  2. book or initiate teleconsultations with independent Registered Medical Practitioners ("RMPs");

  3. receive digital prescriptions, where considered appropriate by an RMP;

  4. place orders for healthcare products, wellness products and medicines, including prescription products where legally permitted;

  5. access logistics, order tracking, follow-up and support services connected to the above.

1.2 Dr. Motabhai is a technology and facilitation platform. Unless expressly stated otherwise, the Company is not a hospital, clinic, diagnostic laboratory, pharmacy, insurer, emergency service provider, or a substitute for in-person medical care.

1.3 All medical consultations, clinical decisions, prescriptions, follow-up advice and treatment recommendations are made solely by independent RMPs who are responsible for their own professional judgment and legal compliance.

1.4 All dispensing, order fulfillment and delivery of medicines or healthcare products are carried out by third-party pharmacies, sellers, logistics providers or other service partners, as applicable.

1.5 The Website may also include health-related content for awareness, general education, wellness support and product discovery. Such content is not, by itself, medical advice, diagnosis, treatment, or a substitute for consultation with a qualified medical professional.

1.6 The Services may be modified, suspended, expanded, restricted or withdrawn from time to time, in whole or in part, at our discretion and subject to applicable law.


2. Eligibility

2.1 You must be at least 18 years of age and legally competent to enter into a binding agreement to use the Website or Services in your own name.

2.2 If you are using the Website on behalf of another individual, including a family member, dependent, patient or person under your care, you represent and warrant that:

  1. you are duly authorized to act for and on behalf of such person;

  2. you have obtained any consent required under applicable law;

  3. all information submitted by you in relation to such person is true, accurate and complete.

2.3 The Company reserves the right to deny or discontinue access where eligibility, authorization, identity or legal capacity is not satisfactorily established.


3. Acceptance of Terms and Relationship with Other Policies

3.1 These Terms constitute a binding agreement between you and the Company in relation to your use of the Website and Services.

3.2 Your use of the Website is also subject to:

  1. our Privacy Policy;

  2. our Refund / Cancellation Policy, where applicable;

  3. consultation consents, product-specific consents or medical disclaimers, where applicable;

  4. any additional terms displayed at the time of availing a particular feature or service.

3.3 In the event of a conflict between these Terms and any service-specific terms, the service-specific terms shall prevail only to the extent of that conflict.


4. User Accounts, Identity and Security

4.1 To access certain Services, you may be required to create an account or authenticate yourself using a mobile number, email address, OTP or such other method as may be made available.

4.2 You agree that all registration and profile details submitted by you shall be accurate, complete, current and not misleading.

4.3 You are solely responsible for:

  1. maintaining the confidentiality of your login credentials;

  2. all activities that occur under your account;

  3. ensuring that access to your device and account is secure;

  4. promptly notifying us of any suspected unauthorized access, account compromise, misuse or fraud.

4.4 We may suspend, restrict or terminate your account if we believe that:

  1. any information provided by you is false, inaccurate, incomplete or outdated;

  2. your account is being misused or used for unlawful activity;

  3. continued access presents a legal, regulatory, operational or safety risk.


5. Medical Information and Teleconsultation Services

5.1 The Website may permit you to submit symptoms, questionnaires, medical history, images, reports, laboratory values, prescriptions, treatment history, or other health information for the purpose of health assessment, consultation or order processing.

5.2 You acknowledge and agree that:

  1. the quality and suitability of any consultation depends materially on the truthfulness, completeness and timeliness of the information you provide;

  2. the RMP may refuse consultation, defer consultation, request additional information, recommend in-person examination, or decline to prescribe, in their professional judgment;

  3. not all medical conditions are suitable for teleconsultation;

  4. teleconsultation is not a substitute for emergency care or physical examination where medically necessary.

5.3 The Company does not practice medicine and shall not be responsible for:

  1. the professional judgment of the RMP;

  2. the diagnosis, non-diagnosis, prescription, non-prescription, treatment advice or follow-up advice given by the RMP;

  3. the outcome of any treatment, medicine, lifestyle recommendation or intervention;

  4. the appropriateness of teleconsultation in a given clinical situation.

5.4 You agree to seek immediate in-person medical attention or emergency assistance in the event of any medical emergency, severe adverse event, acute deterioration, or urgent symptom.

5.5 Any prescription generated through the Website is valid only if issued by a duly licensed RMP in accordance with applicable law and professional guidelines.

6. No Emergency Service; No Hospital or Pharmacy Relationship with the Company

6.1 The Website is not an ambulance service, emergency response service, crisis intervention service, or hospital emergency department.

6.2 Do not use the Website for emergencies, including but not limited to chest pain, breathing distress, severe bleeding, seizures, sudden weakness, suicidal ideation, loss of consciousness, severe allergic reactions, or any condition requiring urgent intervention.

6.3 Your use of the Website does not create:

  1. a doctor-patient relationship with the Company;

  2. a pharmacist-patient relationship with the Company;

  3. a hospital-patient relationship with the Company.

6.4 Any clinical relationship, where formed, is between the patient and the independent RMP. Any pharmacy transaction, where fulfilled, is between the user and the relevant pharmacy or seller.

7. Orders, Medicines, Products and Fulfilment

7.1 The Website may permit ordering of medicines, health products, medical devices, wellness products or related items.

7.2 Product listings, descriptions, pricing, images, availability and delivery estimates are displayed for convenience and may change from time to time.

7.3 Certain orders may be subject to:

  1. valid prescription requirements;

  2. stock availability;

  3. geographic delivery limitations;

  4. pharmacy review or verification;

  5. regulatory or legal restrictions.

7.4 The Company reserves the right to refuse, hold, cancel or modify any order where:

  1. a valid prescription is unavailable or insufficient;

  2. the item is restricted, unavailable, mispriced or not lawfully deliverable;

  3. there is suspected fraud, abuse or regulatory non-compliance;

  4. fulfilment would otherwise violate applicable law or platform policy.

7.5 The Company does not warrant that any medicine or product shown on the Website will always be available, suitable, or deliverable at your location.

7.6 Any substitute product shall be processed only where legally permissible and, in case of prescription medicines, only where consistent with the prescribing doctor's direction and applicable law.


8. Pricing, Payments and Billing

8.1 Prices, consultation fees, delivery charges and other applicable charges are displayed on the Website and are subject to revision at any time.

8.2 You agree to pay all applicable charges, taxes, handling fees and service fees associated with your use of the Services.

8.3 Payments may be processed through third-party payment service providers. The Company does not store full debit card, credit card or bank account credentials except as permitted through secure payment processors or tokenized systems.

8.4 The Company shall not be liable for payment failures, reversals, delays, chargebacks or gateway issues caused by banks, payment intermediaries, UPI systems, processors or networks.


9. Cancellation, Refunds and Returns

9.1 Cancellations, refunds and returns shall be governed by the separate Refund / Cancellation Policy available on the Website, where applicable.

9.2 Unless otherwise stated, consultations already rendered, prescriptions already issued, or services already substantially performed may be non-refundable, subject to applicable law.

9.3 Return or refund of medicines may be restricted by applicable pharmaceutical, consumer and safety regulations.


10. User Conduct and Prohibited Activities

10.1 You agree to use the Website lawfully, responsibly and only for legitimate personal or authorized use.

10.2 You shall not host, display, upload, modify, publish, transmit, store, update or share any information that:

  1. belongs to another person and to which you do not have any right;

  2. is false, misleading, deceptive or fraudulent;

  3. is defamatory, obscene, pornographic, invasive of privacy, hateful, abusive or unlawful;

  4. harms minors in any way;

  5. infringes intellectual property or proprietary rights;

  6. violates any applicable law, regulation or court order;

  7. impersonates another person or misrepresents affiliation;

  8. contains malware, malicious code, spyware or harmful scripts;

  9. is in the nature of synthetically generated or manipulated content, including deepfakes, where prohibited by law or used in a deceptive manner;

  10. threatens the unity, integrity, defence, security or sovereignty of India, public order, or friendly relations with foreign States.

10.3 You shall not:

  1. attempt unauthorized access to the Website, server, accounts or systems;

  2. scrape, crawl, copy, decompile, reverse engineer or extract data from the Website without authorization;

  3. disrupt or interfere with the functioning of the Website;

  4. use the Website to spam, harass, threaten or abuse any person;

  5. obtain consultations, medicines or benefits through misrepresentation or fraud;

  6. resell, assign or commercially exploit the Website or Services without our written consent.


11. Intermediary Status and Content Moderation

11.1 The Company operates as an intermediary platform under applicable law and does not ordinarily initiate transmission, select the receiver of transmission, or modify third-party information made available through the platform.

11.2 The Company may, however, monitor, review, remove, disable access to, preserve or disclose information where:

  1. required by law or lawful governmental direction;

  2. necessary to enforce these Terms or other platform policies;

  3. necessary to protect the rights, safety or integrity of the Company, users, practitioners, pharmacies or the public;

  4. there is actual knowledge or credible notice of unlawful, harmful or prohibited content.

11.3 The Company may preserve information and associated records for such duration as may be required by applicable law, regulatory requirements, lawful orders or internal compliance needs.


12. Privacy, Data Protection and Consent

12.1 Your use of the Website is subject to our Privacy Policy, which explains how we collect, process, store, disclose, transfer and protect your personal data and sensitive personal information.

12.2 By using the Website and Services, you consent to the processing of your information in accordance with the Privacy Policy and applicable law, including where relevant:

  1. the Information Technology Act, 2000;

  2. the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011;

  3. the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, as amended;

  4. the Digital Personal Data Protection Act, 2023, to the extent applicable.

12.3 You represent that any personal data or health-related information submitted by you:

  1. is lawfully provided;

  2. is submitted with valid consent or authority, where required;

  3. may be processed for consultation, fulfilment, care coordination, support, fraud prevention, analytics and legal compliance, as described in the Privacy Policy.

12.4 Withdrawal of consent, requests for deletion, correction or access may impact our ability to provide some or all Services.


13. Third-Party Links, Tools and Services

13.1 The Website may contain links to or integrations with third-party websites, applications, content, payment providers, communication tools, pharmacies, logistics partners or services.

13.2 The Company does not control such third-party services and shall not be responsible for their:

  1. content or representations;

  2. privacy practices;

  3. security measures;

  4. availability, performance or conduct.

13.3 Your dealings with third parties are at your own risk and may be governed by separate terms and policies.


14. Intellectual Property

14.1 All content on the Website, including text, graphics, logos, icons, images, audio, video, software, workflows, compilation, arrangement, user interface, design and branding, is owned by or licensed to the Company unless otherwise stated.

14.2 The Website and its content are protected by copyright, trademark, trade dress and other intellectual property laws.

14.3 You may access and use the Website only for lawful personal or authorized internal use. You shall not reproduce, distribute, modify, adapt, transmit, display, republish, sell, reverse engineer or exploit any content or software except as expressly permitted in writing.


15. No Warranties

15.1 The Website and Services are provided on an "as is", "as available" basis, without warranties of any kind, whether express or implied, to the fullest extent permitted by law.

15.2 Without limiting the foregoing, the Company does not warrant that:

  1. the Website will be uninterrupted, secure or error-free;

  2. consultations, products or services will meet your expectations or achieve a particular result;

  3. the Website will always be available at any particular time or location;

  4. any defects will be corrected immediately;

  5. the Website will be free of viruses or other harmful components.


16. Limitation of Liability

16.1 To the maximum extent permitted by law, neither the Company nor its directors, officers, employees, affiliates, agents, licensors, technology providers or service providers shall be liable for any indirect, incidental, special, exemplary, punitive or consequential damages, including loss of profits, loss of data, loss of goodwill, business interruption, or personal injury arising out of or in connection with:

  1. your use of or inability to use the Website or Services;

  2. teleconsultations, prescriptions, diagnosis, medical advice or non-advice by RMPs;

  3. products, medicines or deliveries fulfilled by third parties;

  4. delays, interruptions, system errors, payment failures or communication failures;

  5. unauthorized access to or alteration of your data or transmissions;

  6. content posted, shared, uploaded or transmitted by any user or third party.

16.2 In all cases, the aggregate liability of the Company arising out of or relating to these Terms, the Website or the Services shall not exceed the greater of:

  1. the amount actually paid by you to the Company for the specific Service giving rise to the claim in the preceding three (3) months; or

  2. INR 1,000 (Indian Rupees One Thousand only).


17. Indemnity

17.1 You agree to indemnify, defend and hold harmless the Company and its affiliates, directors, officers, employees, advisors, contractors, agents and service partners from and against any claims, actions, losses, liabilities, damages, judgments, penalties, costs and expenses (including reasonable legal fees) arising from or relating to:

  1. your use or misuse of the Website or Services;

  2. your breach of these Terms or any policy incorporated by reference;

  3. your violation of any law or the rights of any third party;

  4. false, incomplete or misleading information provided by you;

  5. your use of prescriptions, medicines, consultations or products obtained through the platform.


18. Suspension and Termination

18.1 The Company may suspend, restrict, disable or terminate your access to the Website or any Service, with or without prior notice, where we reasonably believe that:

  1. you have breached these Terms;

  2. your conduct is fraudulent, abusive, unlawful or harmful;

  3. your account or activity presents legal, regulatory, operational or safety risk;

  4. continued access is not commercially or technically feasible;

  5. such action is required by law, regulatory authority or lawful order.

18.2 Upon termination, your right to access or use the Website shall cease immediately. Provisions which by their nature are intended to survive termination shall survive, including provisions relating to privacy, liability, indemnity, jurisdiction, dispute resolution and intellectual property.

19.2 We may acknowledge and address grievances within reasonable timelines and in accordance with applicable law.


20. Governing Law, Dispute Resolution and Jurisdiction

20.1 These Terms shall be governed by and construed in accordance with the laws of India.

20.2 Any dispute, controversy or claim arising out of or relating to these Terms, the Website or the Services shall, to the extent possible, first be attempted to be resolved amicably.

20.3 Failing amicable resolution, such dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996.

20.4 The arbitration shall be conducted by a sole arbitrator appointed by the Company.

20.5 The seat and venue of arbitration shall be Bangalore, Karnataka, India.

20.6 The language of arbitration shall be English.

20.7 Subject to the foregoing, the courts at Bangalore, Karnataka shall have exclusive jurisdiction over all matters arising out of or relating to these Terms, the Website or the Services.


21. Changes to These Terms

21.1 The Company reserves the right to amend, update, modify or replace these Terms at any time.

21.2 Updated Terms will be made available on the Website and shall become effective from the date of publication or such later date as may be specified.

21.3 Your continued use of the Website after such update constitutes acceptance of the revised Terms.


22. Severability and Waiver

22.1 If any provision of these Terms is held invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect.

22.2 No waiver of any provision or breach shall be effective unless made in writing by the Company. Any waiver of one breach shall not constitute a waiver of any other or subsequent breach.
